Overview of the Foreign Investment and Technology Transfer Regulations, 2021

Foreign Investment & Technology Transfer Act (FITTA) Regulatory Framework

The revised regulations under FITTA seek to streamline foreign capital inflows while protecting intellectual assets transfer inside Nepal.

1. Approval Authorities

FDI projects are approved by either the Department of Industries (for projects under NPR 6 Billion) or the Investment Board of Nepal (IBN) for projects exceeding that cap.

2. Technology Transfer Agreements (TTA)

Licensing of international trademarks, patents, designs, or technical know-how to local Nepalese firms must be registered and approved by the DOI to facilitate royalty repatriation.

3. Automatic Route Eligibility

The government has introduced simplified automated approval channels for specific sectors to fast-track small and medium foreign enterprises.

Rajiya Law Associates manages the complete FDI lifecycle, securing investment approvals, drafting TTAs, and handling central bank reporting.
