Guidelines for Registering a Business Enterprise in Nepal

Establishing an industrial unit in Nepal requires navigating structured regulatory pathways managed by the Department of Industries (DOI). The Industrial Enterprises Act serves as the primary legislation governing this process.

1. Licensing and Approval Stage

Before proceeding with incorporation, certain categories of industries (such as defense, security, and specific environmental-impact sectors) must obtain a formal recommendation and license from the Industrial Promotion Board.

2. Company Incorporation

The investor must register a corporate entity at the Office of the Company Registrar (OCR) under the Companies Act. This involves filing the memorandum of association and articles of association.

3. Department of Industries (DOI) Registration

Once incorporated at the OCR, the enterprise must formally register as an industry at the DOI. Key submissions include feasibility studies, investment details, and structural plans.

4. Tax and Local Authority Approvals

Following industry registration, the business must secure a Permanent Account Number (PAN) or Value Added Tax (VAT) certificate from the Inland Revenue Department, alongside registrations at the local ward office.
